This Terms & Conditions of Use Agreement (“Agreement”, “Terms of Use” or “Terms”) sets forth guidelines for the use and viewing of our Sites. By browsing the Sites, you (as a “Visitor”) agree to these Terms of Use. A “Visitor” is defined as any individual browsing the Sites.
AUDIO-TECHNICA reserves the right, at its sole discretion, to change, modify, add, or delete portions of these Terms of Use at any time without further notice. AUDIO-TECHNICA will post any changes to these Terms of Use on the Sites. All changes are effective immediately when we post them and apply to all access to and use of our Sites thereafter. Your continued use of our Sites following the posting of revised Terms and Conditions of Use means that you accept and agree to the changes. Our Sites are offered and available to users who are 13 years of age or older and reside in the United States or any of its territories or possessions, and additional territories and countries in the Americas. - Product Orders
We try to be as accurate as possible with the information we present on our Sites. We will make reasonable efforts to accurately display the attributes of the products we sell. We do not warrant that product descriptions or other content is accurate, complete, or error free. Prices and promotions are subject to change, and may vary from those offered in physical retail locations. We cannot confirm the availability or price of an item until you place your order. Despite our best efforts, sometimes an item in our catalog may not be available, the offer may have been misstated, or an item may be mispriced. For any of these reasons, we may cancel your order or we may contact you for instructions on the order.
Generally, we’ll charge your payment method for an item when we ship the item to you or confirm its availability. For special-delivery items, we’ll charge your payment method when you confirm a delivery time. However, we will preauthorize your order amount (including for pre-orders) with your payment method at the time you place the order, which may have an effect on your available credit line. If a preauthorization of a pre-order expires before fulfillment, the preauthorization will be reversed and another preauthorization will be made closer to the confirmed availability date.
Our order confirmation to you does not signify our acceptance of your order, nor does it constitute confirmation of our offer to sell. At any time after receipt of your order, we may accept, decline, or place quantity or other limits on your order for any reason. - Voluntary Submission
AUDIO-TECHNICA may collect Visitor information that is voluntarily provided by you or with your permission. For example, we may ask you for information, such as your e-mail address, when you subscribe to our e-newsletters and other marketing materials. - User Generated Content
We may occasionally request your permission to use content that you have published online via various social media channels. With your prior authorization, AUDIO-TECHNICA may use this content created and publicly posted by you (“User Generated Content” or “UGC”), as more specially identified and described in the message AUDIO-TECHNICA and/or its authorized agents sent you via the social media platform on which such content appears referring you to this Agreement. That message may come in various forms, typically including, without limitation, comments and direct inbox messages. Generally, UGC will be shared by us across our social media and in marketing initiatives. We will provide you with photo/source credits that will accompany any UGC that we have shared to others with your permission. Your UGC will be collected, stored, and processed in accordance with these Terms for the handling and processing of Visitor Information.
BY REPLYING “#YesATUS @audiotechnicausa” TO THE SOCIAL MEDIA MESSAGE RECEIVED BY YOU AND AS REFERENCED ABOVE, YOU ARE ENTERING INTO AN AGREEMENT WITH AUDIO-TECHNICA AND AGREE TO BE BOUND BY THESE TERMS OF USE, WIHTOUT LIMITATION OR QUALIFICATION. THE USE OF ANY UGC, YOUR RIGHTS REGARDING UGC, OUR RIGHTS AND OBLIGATIONS REGARDING THE USE OF ANY UGC, AND THE TERMS AND CONDITIONS PERTAINING TO UGC AND USE THEREOF ARE SUBJECT TO THE TERMS AND CONDITIONS PROVIDED FOR IN THIS AGREEMENT, INLCUDING, WITHOUT LIMITATION, PROVISIONS PERTAINING TO LIMITATIONS ON LIABILITY AND MODIFICATIONS TO THIS AGREEMENT.
License Grant
For good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, you hereby irrevocably grant to AUDIO-TECHNICA, as well as its respective licensees, authorized agents, successors and assigns (herein collectively referred to as the “Licensed Parties”), a worldwide, perpetual, fully-paid, royalty-free, sub-licensable right to use, publish, broadcast, post online, and copyright (i) your name, voice, picture, portrait and likeness (“Name and/or Likeness”) as such Name and/or Likeness appears in or in connection with the User Generated Content and (ii) the User Generated Content in and in connection with advertising, marketing and promoting AUDIO-TECHNICA, its products and services, or its sponsored events, in whole or in part, by any and all means, media, devices, processes and technology now or hereafter known or devised. You understand and acknowledge that the Licensed Parties may modify the UGC for formatting, navigational, integration or other purposes.
No advertisement, promotional media, or other material in any media containing Your Name and/or Likeness related to the UGC need be submitted to you for any further approval for use by the Licensed Parties, and the Licensed Parties shall be without liability to you for any distortion or illusionary effect resulting from the publication of Your Name and/or Likeness.
Notwithstanding the foregoing, the Licensed Parties will have no obligation to make any use of any of the rights granted by you. Our use of the UGC or Your Name and/or Likeness does not imply any endorsement of or any affiliation with you or other content you may publish or create.
Your Representations of Ownership
You hereby acknowledge and agree that:
- You are not a minor;
- You have the full right, power and authority to grant the rights described in this Agreement and these User Generated Content provisions;
- The User Generated Content was created by you or you own or control all rights in such UGC, such that you have all necessary licenses, rights, consents and permissions to publish the UGC and to grant the rights granted herein, including permission from all person(s) appearing in your User Generated Content;
- The exercise by AUDIO-TECHNICA of its rights under this Agreement and these UGC provisions will not violate the rights of any third party or any applicable laws, rules or regulations, including without limitation, consumer protection, privacy, copyright, trademark and trade laws;
- The User Generated Content does not contain any worms, viruses or other code deemed harmful to AUDIO-TECHNICA or our Visitors or customers; and
- The User Generated Content is not, in AUDIO-TECHNICA’s reasonable discretion, libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.
Additional UGC Terms
You irrevocably and unconditionally waive (and agree not to enforce) all rights in the User Generated Content, including without limitation any moral rights or equivalent rights which you may otherwise have under any laws now existing or which become law in the future in any part of the world.
If requested, you will sign any documentation in such manner and at such location as may be required to protect, perfect or enforce any rights you granted to AUDIO-TECHNICA under these UGC provisions.
Further, you agree that if AUDIO-TECHNICA does not exercise or enforce any legal right or remedy which is contained in these UGC provisions (or which AUDIO-TECHNICA has the benefit of under this Agreement or any applicable law), this will not be taken to be a formal waiver of AUDIO-TECHNICA’s rights and that those rights or remedies will still be available to AUDIO-TECHNICA.
- Accessing the Websites and Account Security
We reserve the right to withdraw or amend our Sites, and any service or material we provide on our Sites, in our sole discretion without notice. We will not be liable if for any reason all or any part of our Sites are unavailable at any time or for any period. From time to time, we may restrict access to some parts of our Sites, or the entirety of our Sites, to users, including registered users.
You are responsible for making all arrangements necessary for you to have access to our Sites; and ensuring that all persons who access the Sites through your internet connection are aware of these Terms of Use and comply with them.
To access our Sites or any of the resources it offers, you may be asked to provide certain reiteration details or other information. It is a condition of your use of our Sites that all the information you provide on our Sites is correct, current, and complete.

You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. We have the right to disable any username, password, or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions.
You may not violate or attempt to violate the security of our Sites, including, without limitation, (a) accessing data not intended for you or logging on to a server or an account which you are not authorized to access; (b) using any portion of our Sites for unintended purposes or trying to change the behavior of our Sites; (c) attempting to probe, scan or test the vulnerability of a system or network or breach security or authentication measures without proper authorization; (d) attempting to interfere with service to any user, host, or network, including without limitation via means of submitting a virus to our Sites, overloading, flooding, spamming, mailbombing or crashing; (e) forging any Transmission Control Protocol/Internet Protocol (TCP/IP) packet header or any part of the header information in any email or newsgroup posting; or (f) forging communications on behalf of AUDIO-TECHNICA (impersonating AUDIO-TECHNICA) or to our Sites (impersonating as a legitimate user).
You may be prosecuted to the full extent of the law for any violation of these Terms.

YOU AGREE THAT USE OF THE SITES IS AT YOUR SOLE RISK. NEITHER AUDIO-TECHNICA, ITS AFFILIATES, NOR ANY OF ITS RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE SITES WILL BE UNINTERRUPTED OR ERROR FREE; NOR DO WE OR THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE WEBSITES, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION PROVIDED THROUGH THE WEBSITES.

IN NO EVENT WILL AUDIO-TECHNICA, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING, OR DISTRIBUTING THE SITES OR THE CONTENT INCLUDED THEREIN, BE LIABLE IN CONTRACT, IN TORT (INCLUDING FOR ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING STRICT LIABILITY) FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR SIMILAR DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, LOSS OF USE OR SIMILAR ECONOMIC LOSS, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITES.
TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, AUDIO-TECHNICA, ANY THIRD PARTY SUBLICENSEE OF AUDIO-TECHNICA, AND ITS AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS AND AGENTS, ARE NOT LIABLE FOR ANY DIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, INDIRECT, PUNITIVE OR SIMILAR DAMAGES ARISING OUT OF OR RESULTING FROM ANY USER GENERATED CONTENT PROVISIONS CONTAINED HEREIN, INCLUDING WITHOUT LIMITATION, DAMAGES FOR HARM TO BUSINESS, LOST PROFITS, LOST SAVINGS, OR LOST REVENUES, HOWEVER SUCH DAMAGES ARE CAUSED AND WHETHER BASED IN CONTRACT, TORT (INLUCIDNG NEGLIGENCE) OR ANY OTHER THEORY OF LIABILITY. THE FOREGOING LIMITATIONS SHALL APPLY REGARDLESS OF WHETHER YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH INJURY, DAMAGES, LOSSES OR EXPENSES.

- Indemnification
Visitors agree to defend, indemnify, and hold harmless AUDIO-TECHNICA and its affiliates and their respective directors, members, officers, employees, and agents (collectively, the “Indemnified Parties”) from and against any and all claims, actions, demands, damages, costs, liabilities, losses and expenses (including reasonable attorneys' fees) arising out of the use of the Sites, including but not limited to, the violation of this Agreement, or infringement of any intellectual property rights.
Further, you agree to indemnify, and hold harmless the Indemnified Parties from and against any and all claims, actions, demands, damages, costs, liabilities, losses and expenses (including reasonable attorneys’ fees) arising out of any breach by you of any User Generated Content provisions contained herein.
Without limiting anything set out above, you hereby release each of the Indemnified Parties from all damages, liability claims, actions, demands and costs of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected to the use of these Sites and the UGC provisions contained herein. If you are a California resident, you expressly waive California Civil Code §1542, which provides: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR.”

Through the Bureau of Industry and Security and its use of the Export Administration Regulations, the United States government has implemented export control laws that regulate the export and re-export of technology originating from within the United States. - Governing Jurisdiction
The Site can be accessed from the United States, Canada and from other countries around the world. Although each of these jurisdictions has laws that may differ from those of the United States, by accessing the Sites, if you are located outside of the United States, you agree that all matters relating to access to, or use of, the Sites, or any other hyperlinked website, shall be governed by the federal laws of the United States without regard to any principals of conflicts of law.
- Compliance with Laws and International Use
You assume all knowledge of applicable laws and are responsible for compliance with any such laws. You may not use the Sites in any way that violates applicable state, federal, or international laws, regulations, or other government requirements.

14.1. General Data Protection Regulation
Audio-Technica U.S., Inc. and Audio-Technica Canada, Inc. do not actively target or market to any EU member state. However, we may engage with some customer companies who have or maintain a presence in the EU or who have customers and data subjects in the EU, any of which may be covered under GDPR. In such instances, AUDIO-TECHNICA may process or control an EU citizen’s user information under a valid legal basis such as a contract to provide such services or with the consent of the EU citizen. This Agreement, in conjunction with our Privacy Policy, which you can access by clicking here, are intended to comply with Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 (the “General Data Protection Regulation” or “GDPR”) and provide appropriate protection and care with respect to the treatment of all Visitor information in accordance with the GDPR.

15. Miscellaneous Terms
